I understand and agree that by making a commitment to provide funds to Team Unfurl in the manner I am selecting through this website, my payments will be used solely for the benefit of players on the Men’s Basketball Team at St. Bonaventure University. By agreeing to these terms and the manner I have chosen to make my payments, I am hereby assigning all of my rights and interest as to how those funds will be distributed and to which players they may be distributed to the Board of Directors of Team Unfurl (“Team Unfurl”). 

In making these payments, I understand that I have the right to negotiate the use of the player’s “Name, Image and Likeness” (“NIL”) for my commercial benefit and I am hereby waiving that right and assigning the use of those NIL benefits to the Team Unfurl. I understand and agree that such designation of rights to the use of a player’s NIL may be assigned or directed to certain for profit entities or to certain not-for-profit or charitable organizations and hereby grant to Team Unfurl the sole discretion and absolute right to designate the use of the player’s NIL and negotiate any commitment required of the player or the use of his NIL.

I understand that I have the right to negotiate my own specific terms and conditions with regards to the use of a particular student athlete at St. Bonaventure University and any payment I may be willing to make for the use of the same, but if I would like to do so in such a manner, I would have to use an alternate means of reaching such agreement and making such payments and that any payment made through this website or Team Unfurl can only be done if I agree to the conditions set forth herein.

I understand that Team Unfurl may use a portion of the funds I provide (less than 5%) to cover reasonable administrative expenses necessary to effectuate the payments and commitments established between the player(s) and the entities benefitting from the use of their NIL, as designated by Team Unfurl. 

In agreeing to these terms and conditions, I further agree to hold harmless Team Unfurl and any of its Directors, Officers, Employees or Agents from any claims, losses, damages, actions or causes of action I may have or that I may allege that would in any way be related to the use and distribution of the funds that I am providing and the commercial benefit or use of any player’s NIL in exchange for the same.  

Choice of Law. This Agreement shall be governed by the laws of the State of New York as if between residents of that state and as if the contract were wholly executed and performed in New York. Venue with respect to any dispute arising out of this Agreement shall be in the state courts located in Cattaraugus County, State of New York. Further, in the event of a dispute between the parties, I acknowledge and agree that I am WAIVING MY RIGHT TO A JURY TRIAL. 

Severability. If any provision of this Agreement is held to be invalid or unenforceable, it will be construed to have the broadest interpretation which would make it valid and enforceable. Invalidity and un-enforceability of one provision will not affect any other provision of this Agreement.
Entire Agreement. The terms herein contained constitute the entire agreement between the parties as my use of Team Unfurl’s software and services, and supersedes any previous agreement by and between myself and Team Unfurl. No additional terms and conditions shall be applicable to this Agreement, absent the express written consent thereto by Team Unfurl.
